Job Description

We are seeking a highly organized and detail-oriented Company Secretary to join our corporate team. The ideal candidate will be responsible for ensuring the company complies with statutory and regulatory requirements and maintaining high standards of corporate governance. This role requires strong knowledge of corporate law, excellent communication skills, and the ability to manage multiple tasks efficiently.

Key Responsibilities:

  • Corporate Governance: Ensure compliance with legal and regulatory requirements, including company law, corporate governance codes, and regulatory filings.
  • Board Support: Provide administrative support to the board of directors, including preparing agendas, organizing board meetings, and taking minutes.
  • Corporate Records Management: Maintain accurate and up-to-date corporate records, including board resolutions, shareholder agreements, and company registers.
  • Statutory Compliance: Prepare and file statutory returns and reports with relevant regulatory authorities, ensuring deadlines are met.
  • Shareholder Communication: Facilitate communication with shareholders, including managing shareholder inquiries, distributing notices, and organizing shareholder meetings.
  • Company Secretarial Duties: Perform company secretarial duties such as drafting resolutions, managing share transfers, and maintaining the company’s statutory books.
  • Legal Support: Provide support to the legal department on corporate transactions, contracts, and other legal matters.
  • Risk Management: Identify and mitigate corporate governance and compliance risks, implementing policies and procedures as necessary.

Skill & Experience:

  • Educational Background: Bachelor’s degree in Business Administration, Law, or a related field; professional qualifications such as ICSA (Institute of Chartered Secretaries and Administrators) are preferred.
  • Company Secretarial Experience: Proven experience in a company secretarial or corporate governance role, preferably within a regulated industry.
  • Legal Knowledge: Knowledge of company law, corporate governance principles, and regulatory requirements.
  • Administrative Skills: Strong administrative and organizational skills, with the ability to manage multiple tasks and priorities.
  • Communication Skills: Excellent verbal and written communication skills, with the ability to interact professionally with stakeholders at all levels.
  • Attention to Detail: Meticulous attention to detail and accuracy in maintaining corporate records and preparing documentation.
  • Problem-Solving Abilities: Strong problem-solving skills and the ability to navigate complex legal and regulatory issues.
  • Discretion: Ability to handle confidential information with discretion and integrity.
  • Team Collaboration: Ability to work collaboratively with cross-functional teams and stakeholders to achieve corporate objectives.
